Terms & Conditions & Terms of Use of Site.

1. Definitions​

“FOBEA”, “we”, “our”, “us”: FOBEA Ltd (Company No. 13853173), registered in England & Wales, registered office: 3.03 - 3.04, Neo, 9 Charlotte St, Manchester M1 4ET

“Site”: https://www.fobea.co and any sub‑domains.

“Services”: All property‑management, short‑let / AST letting, buy‑to‑let investment, consultancy, and ancillary services offered by us, whether online or offline.

“Client”, “you”, “your”: Any person or entity that browses the Site, contacts us, or purchases/uses the Services.

“Content”: All text, graphics, photographs, data, software, and other material displayed on or made available through the Site or Services.




2. Acceptance of These Terms

By accessing the Site, creating an account, signing any management or investment agreement, or otherwise using the Services you confirm that you have read, understood, and agree to be legally bound by these Terms (as updated from time to time) and by our Privacy Policy and Cookie Policy. If you do not agree, you must not use the Site or Services.

3. Eligibility & Account Registration
 

  • You must be at least 18 years old and legally capable of entering into binding contracts.

  • When you open an online portal or investor account you agree to provide accurate, current, and complete information and to keep it updated.

  • You are responsible for safeguarding your login credentials and for all activities conducted under your account.

     

4. Scope of Services
 

  1. Residential Lettings & Management – including tenant sourcing, referencing, rent collection, maintenance coordination, safety‑certification, and compliance.

  2. Short‑Term‑Let / Serviced Accommodation Management – including dynamic pricing, guest vetting, cleaning and linen services.

  3. Ancillary Services – mortgage/insurance introductions, furnishing packages, handyman works, EPCs, etc. Some are provided by vetted third‑party suppliers; separate terms may apply.
     

Full details, deliverables, and fee structures for a specific engagement are set out in the relevant Management Agreement, Lettings Terms of Business, or Reservation/Investment Agreement.


5. Fees, Invoices & Payments
 

  • Our headline commission rates (currently 15% + VAT for short‑lets and 5% + VAT for long‑lets) are illustrative only and may vary by property type, portfolio size, and service level. A written quotation supersedes any marketing material.

  • Invoices are due within 7 days of issue unless the contract specifies alternative payment terms. Unpaid sums accrue daily interest at 4% p.a. above Barclays Bank base rate.

  • We may deduct fees, agreed expenses, and authorised works costs from rent or client monies held in our Client Money Protect account (CMP No. CMP011930).

     

 

6. Client Money & Regulatory Memberships

We are members of:

  • Client Money Protection (CMP): CMP011930

  • Tenancy Deposit Scheme (TDS): Membership No. EW83581

  • Property Redress Scheme (PRS): Membership No. PRS031004

     

7. User Obligations & Prohibited Conduct

You agree not to:

  1. Use the Site for unlawful, fraudulent, or abusive purposes;

  2. Upload defamatory, obscene, or infringing material;

  3. Circumvent security or probe the Site infrastructure;

  4. Copy, scrape, or harvest Content without written consent;

  5. Misrepresent your affiliation with any person or entity.

     

8. Intellectual Property
We own (or are licensee of) all intellectual‑property rights in the Site and Content FOBEA. Save for personal, non‑commercial viewing, you may not reproduce, distribute, or create derivative works without our prior written permission.


9. Privacy & Cookies

Our handling of personal data is explained in our Privacy Policy. We use essential and analytics cookies; details and opt‑out options are set out in our Privacy Policy.


10. Third‑Party Links & Resources
The Site may contain links to external websites. We are not responsible for their content, accuracy, or availability FOBEA. Linking does not imply endorsement.


11. Compliance, Inspection & Right of Entry

Where we act as managing agent, you authorise us (and our appointed contractors) to enter the property on reasonable notice to perform inspections, compliance checks, maintenance, or viewings, except in emergencies where immediate access is required.


12. Disclaimer of Warranties


We use reasonable care and skill but do not guarantee that the Site, Content, or Services will be uninterrupted, secure, or error‑free. All Content is provided “as is” and “as available” FOBEA. To the fullest extent permitted by law, we exclude all implied warranties.

 


13. Limitation of Liability
 

  • We do not exclude liability for death, personal injury, or fraud caused by our negligence.

  • Subject to that, we are not liable for: (a) indirect or consequential loss; (b) loss of profit, revenue, goodwill, or data; (c) losses arising from viruses, DDoS attacks, or other technologically harmful material FOBEA.

  • Our total aggregate liability in contract, tort, or otherwise shall not exceed the total fees paid to us for the specific Service giving rise to the claim.

     

14. Indemnity

You agree to indemnify and hold FOBEA, its directors, employees, and agents harmless from any claim, demand, loss, or damage (including legal fees) arising out of (i) your breach of these Terms, (ii) your misuse of the Site or Services, or (iii) your violation of any law or the rights of a third party.

 


15. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, pandemic, war, terrorism, civil commotion, labour disputes, or interruption of utility services.


16. Termination & Suspension


We may suspend or terminate access to the Site or Services immediately (i) if you materially breach these Terms, (ii) if required by law or a regulator, or (iii) for security reasons. Upon termination your right to use the Site and any licences granted cease immediately, but clauses which by their nature should survive will survive (e.g., intellectual‑property, limitation of liability, indemnity, dispute resolution).

 


17. Amendments


We may revise these Terms by posting an updated version on the Site and, where changes are material, by reasonable notice (e.g., email). Changes take effect 14 days after posting unless a shorter period is required to comply with law FOBEA.

 


18. Governing Law & Jurisdiction


These Terms—and any non‑contractual obligations arising out of or connected to them—are governed by the laws of England & Wales. The courts of England & Wales shall have exclusive jurisdiction, except that consumers resident in Scotland or Northern Ireland may bring proceedings in their home courts.

 


19. Complaints & Dispute Resolution


We aim to resolve complaints internally within 10 business days. If you remain dissatisfied you may refer the matter to the Property Redress Scheme (www.theprs.co.uk) free of charge. Nothing in this clause affects your statutory rights.

 


20. Severability
If any provision is found invalid or unenforceable, the remaining provisions will remain in full force. Any invalid clause will be replaced by one that, to the greatest extent possible, achieves the commercial intent of the original.


21. Entire Agreement & Waiver
These Terms (together with any signed agency, investment, or management agreements) constitute the entire agreement between you and us regarding the Site and Services. No failure or delay by us to exercise any right or remedy constitutes a waiver of that right or remedy.
